BOI Filing Deadline

The BOI Filing Deadline is the specific date by which companies must submit their beneficial ownership information to regulatory bodies to ensure compliance with the Corporate Transparency Act.

What is the BOI Filing Deadline?

The BOI Filing Deadline refers to the required dates for companies to submit their Beneficial Ownership Information (BOI) reports to the Financial Crimes Enforcement Network (FinCEN). Companies must adhere to these deadlines to remain compliant with the Corporate Transparency Act (CTA) and avoid penalties for non-compliance.

Beneficial Ownership Reporting Deadlines

  • Companies registered before Jan 1, 2024: Deadline to submit BOI is January 1, 2025.
  • Companies registered between Jan 1, 2024, and Jan 1, 2025: Must file BOI report within 90 calendar days after receiving notice of registration.
  • Companies registered after Jan 1, 2025: BOI must be filed within 30 calendar days from the date of notice of registration.

(Updated: January 12, 2024)

Timely submission of BOI reports based on these deadlines helps companies stay compliant and avoid penalties. Changes in ownership or control must also be reported within the specified timeframes to FinCEN.
