An Ultimate Beneficial Owner (UBO) refers to the individual who has ultimate control or ownership over a company, regardless of whether they are formally listed as the owner or appear in public records. The UBO is the person who, directly or indirectly, holds the most influence over the company’s activities, assets, and decision-making processes.
In many cases, the UBO may not be immediately visible in corporate structures, especially in complex arrangements involving shell companies or layers of ownership. As a result, UBOs are often required to be disclosed under laws like the Corporate Transparency Act (CTA) to prevent illegal activities such as money laundering, terrorism financing, and tax evasion. Financial institutions and corporations must report UBO information to the Financial Crimes Enforcement Network (FinCEN) to enhance transparency and compliance with anti-money laundering (AML) regulations.
